Terms & Conditions

These Terms are a contract between you and Developios LLC, 30 N Gould St Ste R, Sheridan, Wyoming 82801, USA (“we”, “us”). By creating an account or using ReplyNorth (“the Service”) you accept them. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.

Our Privacy Policy forms part of these Terms.

You need an account to use the Service. You may register with an email address and password, or sign in with Google. Password accounts must confirm their email address before they can sign in.

The Service has two roles:

• Sender — manages their own leads, campaigns, inboxes, knowledge base and replies.
• Administrator — additionally manages user accounts, views campaigns and inboxes across the installation, maintains the suppression list, reviews activity logs, and can suspend or permanently delete users.

The two areas are separated: each role can access only its own part of the application. You are responsible for keeping your credentials secure and for all activity under your account. Tell us promptly at admin@replynorth.developios.com if you suspect unauthorised access.

ReplyNorth imports leads, generates email sequences from your knowledge base, sends them on a schedule from mailboxes you connect, and stops a sequence when a recipient replies. In practice:

• Leads are added manually or by CSV import with column mapping and custom fields.
• Addresses may be checked with a verification provider before entering a sequence.
• A sequence is generated from your knowledge base and the lead’s details.
• The first email always requires your approval before it is sent.
• Follow-ups send automatically on your configured delay, within your send window, subject to per-inbox and per-campaign daily limits and a ramp-up schedule for new inboxes.
• Replies and bounces are detected from the connected mailbox. A genuine reply stops the remaining sequence; automatic out-of-office replies do not.
• Hard bounces add the address to your suppression list, and inboxes that exceed a bounce threshold are paused.
• Sending domains are checked for SPF, DKIM, DMARC and MX records.

The Service does not track email opens or link clicks, and is not a CRM, a mailbox warm-up service, or a multi-channel outreach tool.

You retain ownership of everything you put into the Service — leads, knowledge base documents, campaigns, sequences and message content. You grant us a limited licence to host, process and transmit that content solely to operate the Service for you.

You are responsible for the accuracy and lawfulness of the data you upload, and for having a valid basis to contact every person on your lists.

You must not use the Service to:

• Send unlawful, deceptive, harassing, defamatory or misleading messages, or to impersonate another person or organisation.
• Send to purchased, scraped, harvested or otherwise unlawfully obtained lists.
• Contact anyone who has asked not to be contacted, or who appears on a suppression list.
• Falsify sender identity, headers, or the origin of a message.
• Distribute malware, phishing content, or links to either.
• Circumvent sending limits, ramp-up schedules, bounce protections or suppression checks, whether through the API or otherwise.
• Connect a mailbox you are not authorised to use.
• Probe, scan or interfere with the Service’s security, or access another account’s data.
• Resell, sublicense, white-label or otherwise provide the Service to third parties without our prior written consent.

Cold email is regulated, and the rules differ by jurisdiction. You are solely responsible for complying with every law that applies to your sending, which may include the CAN-SPAM Act, CASL, the GDPR and the UK GDPR, the ePrivacy Directive and equivalent local rules.

At minimum, you agree that you will:

• Identify yourself accurately and use a genuine, monitored sending address.
• Include a working opt-out mechanism and honour opt-out requests promptly.
• Keep your suppression list current and never send to an address on it.
• Maintain records of your lawful basis for contacting each recipient, where your jurisdiction requires one.

Deliverability depends on your domain reputation, list quality and the receiving provider. We provide health checks, ramp-up and bounce controls as tools; we do not guarantee inbox placement.

To send, you connect a mailbox — Gmail or Microsoft 365 by OAuth, or any provider by SMTP and IMAP credentials. You confirm you are authorised to connect and send from each mailbox you add.

The permissions granted are set out in the Privacy Policy. They allow the Service to send mail and to read messages in order to detect replies and bounces. Credentials and tokens are encrypted at rest with AES-256-GCM. You can disconnect a mailbox at any time, which removes its stored credentials.

Your use of Gmail and Microsoft 365 through the Service also remains subject to those providers’ own terms, including their sending limits and bulk sender requirements.

Sequences are drafted by a third-party language model from your knowledge base and lead details. Generated text may be inaccurate, generic, or unsuitable for a given recipient.

The first email of every sequence requires your approval before sending — this is deliberate, and it makes you the publisher of what goes out. You are responsible for reviewing content for accuracy, for any claims it makes about your business, and for its compliance with advertising and consumer protection law. We make no warranty as to the originality, accuracy or fitness of generated content.

As between you and us, you own the generated sequences stored in your account. Ownership of model output is also subject to the model provider’s terms.

The Service depends on the providers below. Their availability, terms and pricing are outside our control, and interruption or change on their side may affect the Service.

The Service is provided on an as-available basis. Sending and reply detection run as scheduled background jobs rather than instantly, so there is inherent delay between an event occurring and it appearing in the application.

We may modify, suspend or discontinue features. The Service is provided without an uptime service level agreement, and no guaranteed availability, response time or restoration time is offered. Support is available at admin@replynorth.developios.com on a reasonable-efforts basis during business hours.

The Service is offered on a subscription basis. New accounts begin with a free 7-day trial. No payment is taken to start the trial, and it ends automatically unless you choose a paid plan.

Paid plans are billed in advance through Stripe at USD 29 per month, or USD 290 per year — two months free compared with paying monthly. Prices are exclusive of any taxes that apply where you are located. Subscriptions renew automatically for the same period until cancelled.

You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period: access continues until then, and fees already paid are not refunded except where a refund is required by law. If a payment fails, we may suspend sending or restrict the account until the balance is settled.

Costs you incur directly with third parties — your email provider, your verification provider, or model usage where you supply your own key — remain your responsibility.

The Service, including its software, interface, design and documentation, is owned by Developios LLC and its licensors, and is protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

You must not:

• Copy, modify, translate or create derivative works of the Service.
• Reverse engineer or attempt to derive source code, except where that restriction is prohibited by law.
• Remove proprietary notices, or use our name, logo or branding without written permission.

Feedback you send us may be used without restriction or compensation.

You may stop using the Service at any time. Account deletion can be requested from admin@replynorth.developios.com.

We may suspend or terminate an account that breaches these Terms, creates a security or deliverability risk, or is required to be suspended by law. An administrator can suspend an account within the application, which ends its sessions immediately and blocks sign-in.

On deletion, the account’s profile and connected inboxes are removed, along with the messages and generated content attached to those inboxes. Leads and campaigns are deliberately preserved and detached from the deleted account, so that outreach history is not lost. The full detail is in the Privacy Policy. Export your data before requesting deletion if you need to keep it.

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

We specifically do not warrant that:

• Emails will reach the inbox, or will not be filtered as spam.
• Reply or bounce detection will identify every reply or bounce, or will classify every message correctly.
• Email verification results are accurate — they come from a third party and are probabilistic.
• Generated content is accurate, original or suitable.
• Your sending complies with the law applicable to you. Nothing in the Service is legal advice.
• The Service will be uninterrupted or error-free.

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or damage to sender or domain reputation, even if advised of the possibility.

Our total aggregate liability arising out of or relating to these Terms is limited to the greater of USD 100 or the fees you paid us in the twelve months preceding the event giving rise to the claim.

Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

You will indemnify and hold us harmless against claims, damages and reasonable costs arising from your use of the Service, the content you send through it, your lists and lawful basis for contacting them, your breach of these Terms, or your violation of any law or third-party right.

We may update these Terms. The date at the top reflects the most recent revision, and material changes will be notified before they take effect. Continuing to use the Service after a change means you accept the revised Terms.

If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
